1. Engagement & Platform Provisions
These Terms of Service ("Agreement") are entered into by and between Sentrium Infrastructure Technologies Inc. ("Sentrium") and the corporate entity or organization agreeing to these terms ("Customer"). This Agreement governs the Customer's access to and use of Sentrium’s runtime enforcer sidecars, reverse proxy gateways, dashboard consoles, and software development kits (collectively, the "Service").
By executing an Order Form, deploying a Sentrium Helm chart or sidecar container, or creating an account via the Sentrium Console, Customer agrees to be bound by all provisions of this Agreement.
2. Intellectual Property & 100% Customer Ownership
Sentrium recognizes that autonomous agent execution involves proprietary corporate trade secrets, customer data, and mission-critical workflows.
- Customer Data & Output Ownership: As between Sentrium and Customer, Customer owns all right, title, and interest (including all patent, copyright, trademark, and trade secret rights) in and to: (a) all inputs, prompts, and context fed to autonomous agents; (b) all tool invocation payloads, function parameters, and external API requests; (c) all responses, generated code, structured data, and outputs generated by agents; and (d) all cryptographic audit ledgers generated by the Platform.
- No License Grants to Customer Assets: Sentrium acquires no right, title, or interest in or to any Customer content. Customer grants Sentrium only the strictly limited, revocable, non-exclusive right to process and evaluate tool calls in volatile memory solely for the purpose of enforcing Customer's configured security policies.
- Sentrium Platform Rights: Sentrium retains sole and exclusive ownership of the Platform, including the eBPF kernel filters, AST parsing algorithms, compiled Wasm evaluation runtime, user interfaces, documentation, and all underlying software.
3. Usage Calculation, Metering & Credit Terms
Access to Sentrium infrastructure is billed based on active agent concurrency and monthly Tool Evaluation volume:
- Definition of Tool Evaluation: A "Tool Evaluation" is defined as any single outbound or inbound function call, REST request, gRPC invocation, or database query intercepted and evaluated by the Sentrium policy engine against active rules. Internal health checks, gateway keep-alives, and dropped TCP connections prior to evaluation are excluded from metering.
- Overage Metering: If Customer exceeds the evaluation allocation included in their subscription tier (1,500,000 for Team Gateway; 12,000,000 for Scale Cluster), overage fees are calculated at the end of each calendar billing cycle ($0.25 per 10,000 evaluations for Team; $0.18 per 10,000 evaluations for Scale) and invoiced on the next billing date.
- Circuit Breaker Protections: If a runaway agent loop is tripped and halted by Sentrium's Financial or Velocity Circuit Breaker, subsequent repetitive blocked attempts within the same burst window are charged at a 90% discounted metering rate to ensure customers are not penalized for runtime security containment.
4. Enterprise Service Level Agreement (SLA) & Financial Remedies
Sentrium guarantees the following uptime availability percentages for our regional reverse proxies and cluster consensus control planes:

Contractual Service Credit Remedies: If Sentrium fails to meet the Monthly Uptime Commitment in any calendar month, Customer is entitled to receive service credits applied against their subsequent monthly subscription invoice according to the following schedule:
- Uptime between 99.0% and 99.9%: 10% credit of the monthly fee paid for the affected cluster.
- Uptime between 95.0% and 99.0%: 25% credit of the monthly fee paid for the affected cluster.
- Uptime below 95.0%: 50% credit of the monthly fee paid for the affected cluster.
To receive a service credit, Customer must submit a formal credit request via email to support@sentrium.tech within thirty (30) calendar days following the end of the calendar month in which the SLA breach occurred. Service credits constitute Customer’s sole and exclusive monetary remedy for SLA failure.
5. Acceptable Use Policy for Autonomous Agents
Customer agrees not to utilize Sentrium to govern, proxy, or facilitate autonomous agents intentionally designed or configured to:
- Execute unauthorized penetration testing, denial-of-service attacks, port scans, or network exploits against third parties without explicit written authorization;
- Harvest credentials, distribute polymorphic malware, or orchestrate ransomware campaigns;
- Violate international sanctions, export control regulations (EAR/ITAR), or weapon proliferation bans.
6. Limitation of Liability & Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, EXCEPT FOR BREACHES OF SECTION 2 (INTELLECTUAL PROPERTY) OR GROSS NEGLIGENCE, NEITHER PARTY SHALL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES (INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS INTERRUPTION) ARISING OUT OF OR IN CONNECTION WITH THIS AGREEMENT.
SENTRIUM'S TOTAL AGGREGATE LIABILITY UNDER THIS AGREEMENT SHALL IN NO EVENT EXCEED THE TOTAL FEES ACTUALLY PAID BY CUSTOMER TO SENTRIUM IN THE TWELVE (12) MONTHS PRECEDING THE INCIDENT GIVING RISE TO LIABILITY.
7. Governing Law, Venue & Severability
This Agreement shall be governed by and construed in accordance with standard commercial contract law, without giving effect to any principles of conflicts of law. Any legal dispute, claim, or controversy arising out of or related to this Agreement shall be resolved through binding commercial arbitration administered under recognized international rules.
